ABOUT THE COMPANY & NATURE OF SERVICES Oki Doki PRO Solutions — FZCO is a licensed business services company incorporated under the laws of the United Arab Emirates (Trade License No. 72623), operating from Dubai Silicon Oasis, Dubai, UAE. The Company provides administrative, documentation preparation, and advisory support services to individuals applying for visas to various countries. The Company is not an immigration law firm, a legal representative, or a government body. The Company acts as a facilitator and does not have any authority to grant, influence, or guarantee visa decisions. IMPORTANT DISCLAIMER: The Company is a commercial visa support service. Engaging our services does not create a lawyer–client relationship. For complex immigration matters, legal advice, appeals, or asylum-related queries, you should seek the services of a qualified immigration lawyer. -------------------------------------------------------------------------------- 2. SERVICES OFFERED Subject to the specific Service Agreement signed by the Client, the Company may provide any combination of the following services: Case Management - Assignment of a dedicated case manager - Single point of contact throughout the process Document Preparation - Guidance on required documents - Review and organisation of the Client's documents - Preparation of supporting letters, cover letters, and travel itineraries Application Form Completion - Preparation and/or completion of the applicable visa application form (e.g., Schengen form, DS-160, UK online application, ImmiAccount, etc.) Appointment Booking - Booking of biometric or interview appointments at VFS Global, BLS International, KVAC, or other authorised visa application centres Travel Arrangements - Hotel reservation (dummy or confirmed as requested) - Dummy/non-ticketed flight reservation - Travel insurance arrangement (optional) Interview Preparation - Pre-interview briefing, mock questions, and guidance (selected categories) Optional Add-On Services - Document translation - Attestation and legalisation - Courier and delivery - Notarisation - Any other service as agreed in writing The exact scope of services applicable to each Client engagement is detailed in the relevant Schedule A of the signed Service Agreement. Visa Categories Covered The Company currently supports applications for, among others: Schengen (all 27 member states), United Kingdom, United States of America, Canada, Australia, Japan, Singapore, China, South Korea, India, New Zealand, South Africa, Kenya, Brazil, Mexico, Argentina, Russia, Taiwan, Cyprus, and all countries for which UAE-based applicants can apply via the Company's supported centres. -------------------------------------------------------------------------------- 3. ELIGIBILITY & CLIENT RESPONSIBILITIES By engaging the Company, the Client represents and warrants that: - They are 18 years of age or older, or are acting with full parental/guardian consent on behalf of a minor. - They are legally resident in the UAE (or are eligible to apply from the UAE as a non-resident). - All information and documents they provide to the Company are complete, accurate, and truthful. - They have not concealed any prior visa refusals, immigration violations, or criminal history that may be material to the application. The Client agrees to: 1. Provide all requested documents and information within the timeframes advised by the Company. 2. Respond promptly to all communications from the Company (email, WhatsApp, phone). 3. Review and approve all application forms and supporting documents before submission. 4. Attend all required in-person appointments (biometrics, interviews) personally — the Company is not permitted to attend on behalf of the Client. 5. Pay all fees as invoiced, in advance. 6. Notify the Company immediately of any change in circumstances that may affect the application. -------------------------------------------------------------------------------- 4. REQUIRED DOCUMENTS Standard documents required across most visa categories include (but are not limited to): - Valid passport with at least 6 months' validity beyond the intended period of travel (some countries require more) - UAE residence visa page and Emirates ID (for UAE residents) - Recent passport-size photographs (specifications vary by country) - Completed Company questionnaire - Proof of UAE residence (tenancy contract, utility bill, or equivalent) - Bank statements covering the past 3–6 months - Employment letter / salary certificate, or business licence and financials (if self-employed) - Confirmed flight itinerary and hotel booking (or dummy equivalents where permitted) - Travel insurance (mandatory for Schengen; recommended for all applications) - Copies of previous visas or refusals (if any) - Invitation letter or support documents (if applicable) - Country-specific documents as specified in the relevant checklist or Schedule A The Company may request additional documents during the review process. Failure to provide complete and accurate documents within required timeframes may result in delays, a weaker application, or the inability to proceed with the service. -------------------------------------------------------------------------------- 5. FEES, PAYMENT & INVOICING 5.1 Service Fees All service fees are specified in the relevant Schedule A or Company invoice. Fees vary by visa category, urgency level, number of applicants, and selected service scope. All fees are quoted in UAE Dirhams (AED). 5.2 Payment Terms All service fees are payable IN ADVANCE prior to commencement of services. The Company will not begin work on a case until payment has been received and confirmed. 5.3 Government & Third-Party Fees Government fees, embassy fees, consulate fees, VFS/BLS service charges, biometric fees, NHS immigration health surcharges, ESTA/ETA/K-ETA fees, and all other official fees are NOT included in the Company's service fees. These are the sole responsibility of the Client and are payable directly to the relevant authority. 5.4 Fee Changes The Company will promptly notify the Client of any changes to official government or third-party fees that affect their application. 5.5 Non-Refundability All service fees are non-refundable except as expressly set out in Section 9 (Refunds & Cancellations) of these Terms. -------------------------------------------------------------------------------- 6. SERVICE TIMELINES & PROCESSING - Standard processing time: 2 business days after receipt of all required documents, excluding appointment booking timelines. - Urgent services: Available for selected visa categories. Processing begins immediately on receipt of full payment and complete documents. - Appointment booking timelines are subject to availability at the relevant visa application centre and are not guaranteed by the Company. - The Company's obligations are completed upon submission of the visa application and/or successful booking of an appointment, unless otherwise specified in Schedule A. Note on Urgent Services: Clients who select urgent or expedited services acknowledge a higher inherent risk of refusal or delay due to compressed timelines and limited appointment availability. Selecting an urgent service tier does not guarantee faster outcomes from the embassy or consulate. -------------------------------------------------------------------------------- 7. NO GUARANTEE OF VISA APPROVAL The Company explicitly does not guarantee: - Visa approval, issuance, or any specific outcome - Specific appointment dates or times - Government or embassy processing durations - Acceptance of any particular document by an embassy, consulate, or immigration authority - Visa validity periods, entry permissions, or extension of stay The final decision on all visa applications rests solely with the relevant government authority. The Company's role is limited to the preparation and support services described in the applicable Service Agreement. The Company is not responsible for outcomes, delays, or additional requests arising from: the Client's travel history; the Client's country of citizenship; embassy or consulate policy; government system failures or backlogs; or any factor outside the Company's direct control. -------------------------------------------------------------------------------- 8. APPOINTMENTS — BOOKING, ATTENDANCE & RESCHEDULING 8.1 Booking Where appointment booking is included in the scope of service, the Company will endeavour to secure the earliest available slot within the timeframe stated in Schedule A. The Client agrees that appointments may be available at either the Dubai or Abu Dhabi visa application centre and does not express a specific preference unless agreed in writing. 8.2 Attendance The Client must attend all booked appointments (biometrics, interviews) in person. The Company does not attend appointments on behalf of the Client. The Client is responsible for arriving on time with all required original documents. 8.3 Missed Appointments The Company is not responsible for missed appointments due to the Client's tardiness, illness, personal circumstances, or any other reason. No refund is available for missed appointments. 8.4 Rescheduling If the Client wishes to reschedule a missed or cancelled appointment, a rescheduling fee applies at the prevailing rate and must be paid before a new appointment is booked. New appointment availability is not guaranteed. -------------------------------------------------------------------------------- 9. REFUNDS & CANCELLATIONS All service fees are non-refundable. Specifically, no refund will be issued for: - Visa denial or refusal by any government authority - Client withdrawal or cancellation of services - Change of travel plans by the Client - Delays or additional requirements imposed by an embassy, consulate, or immigration authority - Appointment already booked (regardless of whether the Client attends) - Services already commenced or partially delivered - Missed deadlines or delays caused by the Client - Force majeure events (see Section 13) - Urgent/expedited service adverse outcomes (higher risk explicitly acknowledged by the Client) A refund of Company service fees (less administrative costs and third-party expenses already incurred) may be considered ONLY where: - The Company fails to submit the application as agreed, for reasons solely attributable to the Company; or - The Company fails to book any appointment within the agreed timeframe, for reasons solely within the Company's control. Approved refunds are processed within 7–21 business days. LIMITATION OF LIABILITY & INDEMNITY 10.1 Company Liability Cap The Company's total liability to the Client under or in connection with these Terms and any Service Agreement shall not exceed the total amount paid by the Client for services under the relevant agreement. 10.2 Exclusion of Consequential Loss The Company shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to: - Loss of earnings, revenue, profit, or business - Loss of travel opportunity, holiday costs, or flight/hotel cancellation losses - Loss of savings or anticipated benefits - Reputational harm or embarrassment - Any consequential costs arising from visa refusal, delay, or revocation 10.3 Client Indemnity The Client agrees to indemnify and hold harmless the Company, its officers, employees, and agents against any claims, losses, damages, or expenses (including reasonable legal fees) arising from: - The Client's breach of these Terms or any Service Agreement - False, misleading, or incomplete information provided by the Client - The Client's failure to comply with embassy, consulate, or immigration authority requirements - The Client's failure to attend a booked appointment or meet a deadline - Any act or omission by the Client in connection with the services -------------------------------------------------------------------------------- 11. DATA PROTECTION & CONFIDENTIALITY 11.1 Collection & Use The Company collects personal data (including passport details, contact information, financial information, and other sensitive data) for the sole purpose of providing the contracted services. Data is processed in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. 11.2 Disclosure The Company will not share Client data with third parties except: - As strictly necessary for the visa application process (e.g., embassies, consulates, visa application centres, travel insurers) - As required by applicable UAE law or a lawful government request - With the Client's explicit written consent 11.3 Security The Company implements reasonable technical and organisational measures to protect Client data from unauthorised access, loss, or misuse. However, the Company cannot guarantee absolute security of data transmitted electronically. 11.4 Retention Client data is retained for a period consistent with legal requirements and business necessity, after which it is securely deleted or anonymised. -------------------------------------------------------------------------------- 12. CLIENT CONDUCT The Client agrees to communicate respectfully and professionally with all Company staff and representatives at all times. The following conduct will not be tolerated: - Abusive, threatening, or harassing communications (verbal, written, or electronic) - Defamatory statements about the Company, its staff, or its services - Provision of false or fraudulent documents or information - Attempts to intimidate, coerce, or impersonate Company staff The Company reserves the right to terminate services immediately in the event of unacceptable conduct by the Client. Upon termination for cause, all fees paid are forfeited and services cease with immediate effect. The Company may pursue all available remedies under UAE law, including under UAE Penal Code Articles 373–380 and UAE Civil Code Article 293(1). -------------------------------------------------------------------------------- 13. FORCE MAJEURE The Company is not liable for any delay, suspension, or failure to perform services arising from circumstances beyond its reasonable control, including but not limited to: - Embassy, consulate, or visa application centre closures or disruptions - Government system outages (e.g., UKVI portal, DS-160 system, ImmiAccount, VFS platform) - Changes in immigration laws, visa policies, or bilateral diplomatic relations - Natural disasters, pandemics, health emergencies, or acts of God - Political events, national emergencies, sanctions, or civil unrest - Public holidays affecting processing or appointment availability - Third-party service failures (airlines, couriers, insurance providers) In force majeure circumstances, the Company will endeavour to resume services as soon as reasonably practicable and will communicate proactively with affected Clients. -------------------------------------------------------------------------------- 14. INTELLECTUAL PROPERTY & WEBSITE USE All content on oki-doki.ae, including text, images, calculators, tools, guides, and data, is the intellectual property of Oki Doki PRO Solutions — FZCO or its licensors and is protected under applicable UAE and international intellectual property law. You may not reproduce, distribute, modify, publish, or create derivative works from any content on our website without prior written consent. Scraping, automated data collection, or any other systematic extraction of website content is prohibited. The Company's visa tools (approval calculators, eligibility checkers, quick facts comparisons) are provided for informational purposes only and do not constitute legal advice or official guidance. -------------------------------------------------------------------------------- 15. MARKETING COMMUNICATIONS By engaging the Company's services, the Client may receive marketing and promotional communications via email, WhatsApp, or other channels. The Client may unsubscribe or opt out at any time by: - Clicking the unsubscribe link in any marketing email - Sending a written opt-out request to info@oki-doki.ae The Company will process opt-out requests promptly and in compliance with UAE electronic marketing regulations. Opting out of marketing does not affect service-related communications, which will continue for the duration of any active engagement. -------------------------------------------------------------------------------- 16. TERMINATION 16.1 By the Client The Client may request cancellation of services at any time. However, all fees paid are non-refundable once services have commenced (see Section 9). 16.2 By the Company The Company may terminate its services and any active Service Agreement immediately, with written notice, in the event of: - A material breach of these Terms by the Client - Unacceptable conduct by the Client (see Section 12) - Discovery of false, fraudulent, or materially inaccurate information provided by the Client - Non-payment of fees Upon termination, all fees paid are forfeited, and the Company has no further obligations to the Client. 16.3 Validity of Unused Services Unless otherwise specified in Schedule A, all services must be initiated and completed within one (1) year from the date of the signed Service Agreement. Unused services after this period are void and non-refundable. -------------------------------------------------------------------------------- 17. GOVERNING LAW & DISPUTE RESOLUTION These Terms and any dispute, controversy, or claim arising out of or in connection with them (including any question regarding their existence, validity, breach, or termination) are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute that cannot be resolved amicably between the Parties shall be referred to and finally resolved by binding arbitration in Dubai under the rules of the Dubai International Arbitration Centre (DIAC). The language of arbitration shall be English. The arbitral award shall be final and binding on both Parties. The Client agrees to first attempt resolution by contacting the Company at info@oki-doki.ae before initiating any formal proceedings. -------------------------------------------------------------------------------- 18. GENERAL PROVISIONS 18.1 Entire Agreement These Terms, together with any signed Service Agreement and its Schedules, constitute the entire agreement between the Parties and supersede all prior agreements, representations, or understandings, whether oral or written, relating to the same subject matter. 18.2 Amendments The Company reserves the right to update these Terms at any time. Updated Terms will be published on oki-doki.ae and take effect on the date of publication. Continued use of the Company's services following publication of updated Terms constitutes acceptance. 18.3 Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. 18.4 No Waiver Failure or delay by the Company in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy. 18.5 Assignment The Client may not assign, transfer, or novate any rights or obligations under these Terms or any Service Agreement without the prior written consent of the Company. The Company may assign its rights and obligations without the Client's consent. 18.6 Language These Terms are provided in English.
